1. Agreement to Terms

By accessing jerinlab.com or engaging JerinLab for any development services, you agree to be bound by these Terms & Conditions. If you do not agree, please do not use our website or services. JerinLab is a Shopify and iOS development agency with offices in the United States, United Kingdom, Dubai, and Bangladesh.

2. Services

JerinLab provides software development services including but not limited to:

• Shopify store development, redesign, and migration
• Shopify Plus solutions and custom Shopify app development
• iOS and Android mobile application development
• Flutter cross-platform development
• Conversion rate optimisation (CRO)
• eCommerce consulting and strategy

The specific scope, deliverables, timeline, and fees for each engagement are defined in a separate Statement of Work (SOW) or project proposal agreed upon by both parties.

3. Project Engagements

All project work is governed by a signed proposal or SOW. By proceeding with payment or written approval, the client confirms acceptance of the scope and terms outlined therein. JerinLab reserves the right to:

• Decline any project at our discretion before a contract is signed
• Adjust timelines due to client-side delays in feedback or asset delivery
• Engage subcontractors or team members to complete agreed work

4. Payment Terms

Unless otherwise specified in the project proposal:

• A deposit (typically 50%) is required before project work commences
• Remaining balance is due upon project completion or as milestones are reached
• Invoices are payable within 7 days of issue
• Late payments may incur a 1.5% monthly interest charge
• Work may be paused on accounts with outstanding invoices beyond 14 days

5. Intellectual Property

Upon receipt of full payment, the client owns all custom code, designs, and deliverables produced specifically for their project. JerinLab retains the right to display the project in our portfolio unless the client requests confidentiality in writing. We retain ownership of any pre-existing frameworks, libraries, or tools used in the development process that were created independently of the client engagement.

6. Client Responsibilities

The client agrees to:

• Provide timely feedback, approvals, and required assets
• Ensure all materials provided to JerinLab do not infringe third-party rights
• Maintain appropriate Shopify plan or app subscriptions required for the project
• Not reverse-engineer, resell, or redistribute JerinLab's proprietary tools

7. Limitation of Liability

JerinLab's total liability for any claim arising from a project engagement shall not exceed the total fees paid by the client for that specific project. We are not liable for indirect, incidental, or consequential damages including loss of revenue, data, or business opportunities. We do not guarantee specific business results (e.g. sales, rankings, or revenue) from development work.

8. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. JerinLab will not disclose client business data, unreleased products, or strategic plans to third parties without written consent.

9. Termination

Either party may terminate a project engagement with 14 days written notice. The client is responsible for payment of all work completed up to the termination date. Deposits are non-refundable once development work has commenced, unless JerinLab is in material breach of the agreed scope.

10. Governing Law

These Terms are governed by the laws of the State of Hawaii, United States. Any disputes will be resolved through binding arbitration in Honolulu, HI, unless both parties agree otherwise in writing.

11. Changes to Terms

We reserve the right to update these Terms at any time. Changes take effect upon posting to jerinlab.com. Continued use of our services constitutes acceptance of updated Terms.
